These Terms & Conditions (“Terms”) govern your use of ridechico.com (operated by Lin & Co., LLC) and the purchase of bicycles, parts, or accessories from our Shopify store. By browsing, creating an account, or placing an order, you agree to comply with these Terms, our Privacy Policy, Shipping Policy, and Return & Exchange Policy. Please read carefully—these Terms establish legal rights and obligations between you and Lin & Co., LLC.

1. Definitions

• “We/Us/Our”: Lin & Co., LLC, operator of ridechico.com.
• “You/Your”: The customer browsing, purchasing, or using our services.
• “Products”: Bicycles (city, mountain, road, hybrid, kids’, etc.), bike parts, accessories, and related items sold on ridechico.com.
• “Shopify Platform”: The e-commerce platform powering our store, governed by Shopify’s Terms of Service.

2. Account Creation & Usage

• Eligibility: You must be 18+ (or have parental/guardian consent if under 18) to create an account or place an order. By registering, you confirm you have the legal capacity to agree to these Terms.
• Accuracy: Provide truthful, up-to-date information (name, email, shipping address, phone number) when creating an account. Update details promptly to avoid delivery delays or communication issues.
• Account Security: You are responsible for protecting your account credentials (username/password). Notify us immediately at vabivivi30@gmail.com of unauthorized access or suspicious activity. We are not liable for losses from unauthorized account use.
• Account Termination: We may suspend/terminate your account if you violate these Terms (e.g., fraudulent orders, misuse of services). You may delete your account anytime by contacting our support team.

3. Orders & Payment

3.1 Order Placement & Confirmation

• When you place an order, you submit a binding offer to purchase Products. We reserve the right to accept/reject orders (e.g., out-of-stock items, pricing errors, suspicious/fraudulent activity).
• An order is “confirmed” only when we send a shipping confirmation email (with tracking number) to your registered email. Prior communications (e.g., order receipt) are not confirmation of acceptance.
• Pricing & Availability: Product prices are listed in USD and exclude taxes (sales tax applied based on your shipping address) and shipping fees (see Shipping Policy). We reserve the right to correct pricing errors, even after order placement—if this occurs, we will notify you to approve the corrected price or cancel the order.

3.2 Payment Terms

• Accepted Methods: We accept credit/debit cards (Visa, Mastercard, American Express), PayPal, and Shopify Pay—all processed securely via Shopify Payments (PCI DSS compliant; we never store credit card data).
• Payment Authorization: Your payment method is authorized at checkout to verify funds. Charges are processed when your order ships.
• Unpaid/Declined Orders: If payment is declined or unpaid after 48 hours, we may cancel the order and restock the Product. Repeated declined payments may result in account restrictions.

3.3 Order Modifications/Cancellations

• Pre-Confirmation: You may modify/cancel an order only before receiving the shipping confirmation email. Contact us immediately—we cannot guarantee changes if processing has begun.
• Post-Confirmation: No cancellations, modifications, or refunds for confirmed orders (except as permitted under our Return & Exchange Policy). Forced cancellations (post-confirmation) incur a 15% fee (covers packaging, processing, and restocking costs for bicycles).

4. Products & Specifications

• Descriptions: Product details (size, frame material, components, weight, warranty) are accurate to the best of our knowledge and based on manufacturer information. Minor variations (e.g., color shades, component brands) may occur due to production batches—we will notify you of significant changes.
• Assembly: Bicycles are shipped partially disassembled (wheels removed, handlebars rotated) for safe transit. Assembly instructions and basic tools are included. We recommend professional assembly for optimal safety/performance—improper assembly voids warranties and may cause injury.
• Safety Warnings: Always wear a helmet when riding. Follow manufacturer guidelines for weight limits, usage (e.g., mountain bikes for off-road only), and maintenance. We are not liable for injuries from improper use, neglect, or failure to follow safety instructions.
• Warranties: Products come with manufacturer warranties (varies by brand/model—details on product pages). Our warranty covers manufacturing defects (e.g., frame cracks, faulty components) but not normal wear, damage from misuse, or improper assembly.

5. Shipping & Delivery

• Shipping is governed by our separate Shipping Policy, which outlines coverage, timelines, packaging, tracking, and fees. By placing an order, you agree to comply with the Shipping Policy.
• Address Responsibility: Provide a valid physical address (PO boxes not accepted for bicycles). We are not liable for delays, lost/damaged items, or additional fees ($50 re-shipping fee) due to incorrect/incomplete addresses.
• Signature Requirement: A signature (18+) is required for delivery (see Shipping Policy). Failure to accept delivery may result in returned items and restocking fees.

6. Returns & Exchanges

• Returns/exchanges are governed by our separate Return & Exchange Policy. Key terms include:
  • 30-day return window for unused, unassembled Products in original packaging.
  • 15-day exchange window for defective/wrong items (photos required for verification).
  • Restocking fees (10% for bicycles, 5% for parts/accessories) for non-defective returns.
  • We cover shipping for defective/wrong items; you pay return shipping for personal reasons.
• Ineligible items: Used/assembled bicycles, items without original packaging, damage from misuse, or custom-ordered Products (e.g., personalized frames).

7. Liability & Disclaimers

7.1 Limitation of Liability

• We are liable for manufacturing defects in Products (per warranty terms) and direct damages from our negligence (e.g., shipping a defective bike that causes injury).
• We are not liable for:
  • Indirect, incidental, or consequential damages (e.g., lost use, missed events, transportation costs).
  • Damages from improper assembly, misuse, neglect, or failure to maintain Products.
  • Damages from Shopify Platform issues (e.g., payment errors, site outages—governed by Shopify’s Terms of Service).
  • Damages exceeding the purchase price of the Product.

7.2 Disclaimers

• Products are sold “as is” (except for manufacturer warranties). We disclaim all implied warranties (e.g., merchantability, fitness for a particular purpose) to the fullest extent permitted by law.
• We do not guarantee that the site will be error-free, available 24/7, or free of viruses/malware. You use the site at your own risk.

8. Intellectual Property

• All content on ridechico.com (logos, product photos, descriptions, videos, trademarks) is the intellectual property of Lin & Co., LLC or our partners. You may not copy, reproduce, distribute, or use this content without written permission.
• “ridechico.com” and Lin & Co., LLC trademarks may not be used in connection with any third-party products/services without authorization.

9. Third-Party Services

• Our store uses Shopify (payment processing, site hosting) and third-party carriers (shipping). These services are governed by their own Terms of Service—we are not responsible for their actions or failures.
• Links to third-party websites (e.g., manufacturer sites, cycling resources) are provided for convenience. We are not liable for their content or privacy practices.

10. Governing Law & Disputes

• These Terms are governed by the laws of the State of Mississippi, USA, without regard to conflict of law principles.
• Disputes arising from these Terms or your purchase will be resolved through:
  1. Negotiation (contact us to attempt a resolution).
  2. Mediation (if negotiation fails, use a neutral mediator in Mc Henry, MS).
  3. Small Claims Court (for claims under $10,000) or arbitration (for claims over $10,000) in Harrison County, MS—waiving the right to class action lawsuits.

11. Policy Updates

• We may update these Terms periodically to reflect legal changes, product updates, or business needs. Updates are posted on this page with a “Last Updated” date.
